Grab My Deals – Vendor Service Agreement

1. Agreement Overview
This agreement is between Grab My Deals (“Platform”, “we”, “us”) and the Vendor (“you”, “your”).
By accepting this agreement, you confirm that you are authorised to bind the business or entity you represent. You agree that both you personally, and the business, are jointly responsible for complying with and fulfilling the obligations under this agreement.
2. Nature of the Platform
Grab My Deals operates as an online marketplace that connects customers with Vendors offering:
- Products
- Services
- Bookings (e.g. restaurant reservations, massage appointments)
- Vouchers (digital or QR-based)
We are not the provider of the goods or services. The Vendor is solely responsible for fulfilling all offers.
3. Vendor Responsibilities
As a Vendor, you agree to:
3.1 Accuracy of Listings
- Provide accurate descriptions, pricing, inclusions, and conditions
- Ensure all deals, discounts, and availability are correct
- Keep your listing updated at all times
3.2 Service Delivery
- Honour all purchases and bookings made through the Platform
- Provide services to a professional and acceptable standard
- Not refuse valid vouchers without reasonable cause
3.3 Legal Compliance (New Zealand)
You must comply with all applicable laws, including:
- Consumer Guarantees Act 1993
- Fair Trading Act 1986
- Health & safety regulations
- Local council requirements (if applicable)
3.4 Property & Safety
- Maintain premises in a safe, clean, and compliant condition
- Ensure services are delivered in an environment suitable for customers
3.5 Booking & Availability
- Accurately manage availability and capacity
- Honour confirmed bookings
- Avoid overbooking or misleading availability
4. Platform Responsibilities (Grab My Deals)
We agree to:
- Provide the platform to list and promote your deals
- Facilitate payments and order processing
- Generate vouchers and QR codes for redemption
- Provide basic reporting (sales, vouchers, etc.)
- Offer customer support relating to platform use
We do not guarantee sales volume or customer traffic.
5. Fees & Payments
5.1 Commission Structure
Fees & Commission
Standard products: [e.g. 8% commission] +0.30 Cents
Bookings (restaurant/massage): [e.g. fixed $5 fee or agreed rate]
Different fee structures may apply to specific product categories, promotions, or individual vendor agreements, as determined by Grab My Deals.
From time to time, Grab My Deals may update its fees and commission structure. Vendors will be provided with reasonable written notice of any changes, and continued use of the Platform will indicate acceptance of those updates.
5.2 Payments to Vendors
- Vendors will be paid fortnightly
- Payments may be subject to:
- Order completion
- Refund periods
- Voucher redemption
5.3 Deductions
We may deduct:
- Platform commissions
- Refunds or chargebacks
- Dispute adjustments
6. Vouchers & Redemption
- Each purchase may generate a unique voucher code (QR-based)
- Vendors must honour valid vouchers
- Vendors must not mark vouchers as used unless the service has been delivered
- Fraudulent or duplicate use must be reported immediately
Payments to Vendors for voucher-based transactions will only be processed upon confirmed redemption of the voucher. Grab My Deals may, at its discretion and in accordance with applicable New Zealand law, guarantee payment for valid but unredeemed vouchers for a period of up to three (3) years from the date of purchase.
Following the expiry of this period, any remaining eligible unclaimed voucher amounts may be released to the Vendor, subject to applicable laws, refunds, disputes, chargebacks, or other outstanding claims.
Vendors must only redeem vouchers that have been legitimately used. Any attempt to claim payment for invalid, duplicate, or fraudulent vouchers will result in the Vendor being liable for all related costs, losses, and fees.
7. Refunds & Disputes
- Customers may request refunds in line with NZ consumer law
- Grab My Deals may issue refunds where required
- Vendors agree to cooperate in resolving disputes
- Costs of refunds may be deducted from vendor payouts
8. Vendor Conduct
Vendors must not:
- Mislead customers
- Offer unsafe or illegal services
- Damage the reputation of the Platform
- Circumvent the platform to avoid fees (e.g. taking bookings offline)
9. Suspension & Termination
We may suspend or remove a Vendor if:
- Listings are misleading or inaccurate
- Services are unsafe or poor quality
- There are repeated complaints
- The Vendor breaches this agreement
You may terminate your account by written notice.
10. Liability
- Vendors are fully responsible for the services they provide
- Grab My Deals is not liable for:
- Service quality
- Personal injury
- Property damage
- Our liability is limited to the amount of fees collected
11. Intellectual Property
- Vendors grant Grab My Deals permission to use:
- Business name
- Images
- Descriptions
for marketing and promotion
12. Data & Privacy
- Customer data must only be used to fulfil orders
- Vendors must not misuse or sell customer data
- Platform complies with NZ privacy expectations
13. Changes to Agreement
We may update this agreement at any time. Continued use of the platform means acceptance of changes.
14. Governing Law
This agreement is governed by the laws of New Zealand.
15. Acceptance
By clicking the “I Accept” checkbox, registering as a Vendor, listing products or services, or otherwise using the Platform, you agree to be legally bound by the terms of this agreement.
